1. Acceptance of Terms

By accessing or using the Appecable Tech website, services, digital products, and any associated applications (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use our Services. These Terms constitute a legally binding agreement between you ("Client", "User", "Customer") and Appecable Tech ("Company", "we", "us", "our").

2. Eligibility & Account Registration

To use our Services, you must:

• Be at least 18 years of age and legally capable of entering into contracts.
• Provide accurate, current, and complete information during registration.
• Maintain the confidentiality of your account credentials.
• Accept responsibility for all activities under your account.
• Notify us immediately of any unauthorized access or security breach.

We reserve the right to refuse service, suspend, or terminate accounts for any violation of these Terms or fraudulent activity.

3. Services Offered

Appecable Tech provides the following digital solutions:

3.1 Website Development

Custom website design and development, including responsive layouts, CMS integration, and SEO optimization.

3.2 Mobile App Development

Custom mobile applications for iOS and Android platforms using technologies such as React Native, Flutter, Swift, and Kotlin.

3.3 Custom Software Development

Tailored software solutions including web applications, APIs, and system integrations.

3.4 AI Website Builder

AI-powered website generation tool that creates websites based on user descriptions.

3.5 Template Marketplace

Pre-designed website templates available for purchase and customization.

3.6 Digital Solutions

Including eDentify, eTime, eQueue, BizCo, DAM Suite, AppiPay, and bank integration services.

4. Project Process & Deliverables

4.1 Discovery & Requirements

We will work with you to define project scope, requirements, and deliverables. Any changes to scope may affect pricing and timeline.

4.2 Design Approval

Design mockups will be presented for your approval. Two rounds of revisions are included; additional revisions may incur fees.

4.3 Development

Once design is approved, development begins. You will receive regular progress updates via your dashboard.

4.4 Testing & QA

We conduct thorough testing before delivery. You are responsible for user acceptance testing (UAT) upon delivery.

4.5 Launch & Deployment

Final deliverables will be deployed to your hosting environment. We provide launch assistance as part of the package.

4.6 Post-Launch Support

Support packages are available for ongoing maintenance, updates, and technical assistance.

5. Pricing & Payment Terms

5.1 Service Packages

• Starter Website: $300 - $800
• Business Solution: $800 - $2,000
• Enterprise Solution: $2,000 - $5,000+
• AI Builder Subscription: $12 - $56 per month
• Template Purchases: Varies by template

5.2 Payment Terms

• 50% deposit required to begin any custom project.
• Remaining 50% due upon project completion before final delivery.
• Subscriptions are billed monthly and auto-renew unless cancelled.
• All payments are processed securely via PayPal.
• Prices are in USD unless otherwise specified.

5.3 Late Payments

Late payments may result in suspension of services and a 5% monthly late fee on overdue balances.

6. Intellectual Property Rights

6.1 Ownership of Deliverables

Upon full payment, all custom-developed code, designs, and deliverables become your property. We retain the right to display the work in our portfolio unless otherwise agreed.

6.2 Third-Party Assets

Any third-party libraries, frameworks, or assets used remain the property of their respective owners and are subject to their licenses.

6.3 Our Intellectual Property

The Appecable Tech name, logo, website design, and proprietary tools (including the AI Builder, DAM Suite, AppiPay) are our exclusive property and may not be copied or used without permission.

6.4 Client Content

You retain ownership of all content, text, images, and data you provide. You grant us a license to use this content solely for the purpose of delivering the Services.

7. Client Responsibilities

As a client, you agree to:

• Provide timely feedback, approvals, and required materials.
• Ensure you have the legal right to use any content or assets you provide.
• Maintain backups of your website content.
• Comply with all applicable laws regarding your website or application.
• Not use our Services for any illegal, harmful, or deceptive purposes.
• Pay all fees and charges on time as agreed.

8. Refund & Cancellation Policy

8.1 Custom Projects

Deposits are non-refundable as they secure our team's time and resources. If you cancel a project after work has commenced, you will be billed for work completed up to the cancellation date.

8.2 Subscriptions (AI Builder)

You may cancel your subscription at any time through your dashboard. Cancellation takes effect at the end of the current billing cycle. No refunds for partial months.

8.3 Template Purchases

Templates are digital products and are non-refundable once downloaded or accessed.

8.4 30-Day Satisfaction Guarantee

For custom development projects, we offer a 30-day satisfaction guarantee. If you are unsatisfied with the delivered product, we will work to resolve issues. Refunds are provided at our sole discretion.

9. Warranties & Disclaimers

9.1 Our Warranty

We warrant that our Services will be performed in a professional and workmanlike manner. For 90 days after delivery, we will fix any bugs or defects in our code at no additional charge.

9.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.3 Third-Party Services

We are not responsible for the performance, availability, or security of third-party services (e.g., hosting providers, payment gateways, APIs).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPECABLE TECH AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Appecable Tech and its employees, officers, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Terms.
• Your use of our Services in violation of any law or third-party rights.
• Any content or materials you provide that infringe upon intellectual property rights.

12. Termination

We may suspend or terminate your access to our Services at any time for violation of these Terms, non-payment, or any other reason at our sole discretion. You may terminate your account by contacting support. Upon termination, you remain responsible for any outstanding fees.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Jamaica, without regard to conflict of law principles.

13.2 Dispute Resolution

Any dispute arising out of these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration in Hanover, Jamaica, under the Arbitration Act of Jamaica. Each party shall bear its own costs.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in a class action or representative proceeding.

14. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, war, terrorism, riots, labor disputes, government actions, internet outages, or acts of God.

15. Amendments to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on our website at least 30 days in advance. Continued use of our Services after the effective date constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Appecable Tech regarding our Services and supersede all prior agreements.
